End User License Agreement (EULA) for the TransferOne Application

This End User License Agreement (the “Agreement”) is a legally binding agreement between you (referred to as “User” or “you”) and Msafe B.V., a company registered with the Dutch Chamber of Commerce under number 87981750, with its registered office at Linnaeusweg 9A, 3401 MS IJsselstein, The Netherlands (referred to as “Msafe,” “we,” or “us”).
This Agreement governs your use of the TransferOne application (a trade name of Msafe B.V.), including the TransferOne web application, desktop application, and any related services provided by Msafe (“the Application”).

Note: Msafe B.V. strives to maintain a trustworthy and safe environment for all users. We kindly ask you to be a good person while using the Application.

By accessing, downloading, or using the Application, you acknowledge and agree to the terms of this Agreement. If you do not agree to these terms, do not use the Application.

1. License Grant

Msafe grants you a limited, non-exclusive, non-transferable, and revocable license to use the Application solely for the secure transfer of files in accordance with this Agreement and any user documentation provided by Msafe.

2. User Account

You must create an account to use the Application. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree that Msafe may send you SMS messages containing 2FA (two-factor authentication) codes to the mobile phone number associated with your account. Msafe will never use your phone number for purposes other than sending authentication codes.

3. Restrictions

You may not:

  • Sell, rent, sublicense, distribute, transmit, or otherwise commercially exploit the Application.

  • Copy, reproduce, modify, adapt, translate, or create derivative works of the Application.

  • Attempt to modify, decompile, disassemble, reverse-engineer, or derive the source code of the Application.

  • Use the Application to undermine democratically elected governments or officials.

  • Share files containing illegal content under Dutch law, including but not limited to:

    • Child sexual abuse material

    • Terrorist acts

    • Viruses, malware, or other harmful software

    • Pirated or copyrighted material without ownership rights

    • Simulated sexual activity, explicit nudity, or graphic violence

    • Threats, torture, abduction, or encouragement of self-harm

4. Ownership

The Application, its content, and trademarks are the exclusive property of Msafe and its licensors. You agree not to remove, alter, or obscure any copyright, trademark, or proprietary notices.

5. Data Privacy

Your use of the Application is subject to Msafe’s Privacy Policy, which describes how your data is collected, used, and protected. By using the Application, you agree to the terms of the Privacy Policy.

6. Payment and Subscription

Certain features of the Application may require payment. You agree to pay all applicable fees as described on the TransferOne or Msafe website. Subscription terms, renewal, and cancellation policies are also detailed on the website.

7. Termination

Either party may terminate this Agreement at any time for any reason by providing notice to the other. Upon termination, your access to the Application will be revoked, and you must cease using and delete all copies of the Application.

8. Disclaimer of Warranties

The Application is provided “as is” and “as available.” Msafe disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
Msafe does not warrant that the Application will be error-free or uninterrupted.

9. Limitation of Liability

To the fullest extent permitted by law, Msafe shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or related to your use of the Application.

Msafe is not responsible for any errors, loss, or data breaches resulting from files being sent to the wrong recipient or transmitted without the appropriate security level selected by the user.

10. Applicable Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Netherlands. All disputes arising from or relating to this Agreement shall fall under the exclusive jurisdiction of the Dutch courts.

11. Modifications to the Agreement

Msafe reserves the right to modify, amend, or change this Agreement at any time. You will be notified of any material changes, and continued use of the Application constitutes your acceptance of the revised terms.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and Msafe regarding the subject matter herein and supersedes all prior or contemporaneous communications and proposals.

13. Responsibility for Uploaded Files

13.1 Ownership of User Content:
You acknowledge and agree that you are solely responsible for any content, files, or data you upload, share, or transmit using the Application (“User Content”). You retain full ownership and responsibility for your User Content, and Msafe makes no claim of ownership rights.

13.2 File Integrity:
Msafe is not responsible for the integrity, preservation, or backup of User Content. You are solely responsible for maintaining original copies of your files and data uploaded to the TransferOne Service. We strongly recommend keeping backups of critical data.

13.3 No Liability for User Content:
Msafe disclaims all liability for the accuracy, completeness, legality, or appropriateness of User Content uploaded by you or other users. Msafe is not responsible for any loss, corruption, or unauthorized access to User Content.

13.4 Deletion of User Content:
Msafe reserves the right to remove or disable access to User Content that violates this Agreement or is reported to infringe on the rights of others. Such actions may be taken at Msafe’s sole discretion without liability.

13.5 Data Security and Privacy:
While Msafe implements security measures to protect User Content, no data transmission or storage system can be guaranteed 100% secure. You are responsible for applying appropriate safeguards, including strong passwords and encryption where necessary.

13.6 No AI-Based File Analysis:
The Application does not use Artificial Intelligence (AI) to analyze files, content, or data uploaded or shared by users.

13.7 Filename Analysis for Security Recommendations:
The Application may automatically analyze filenames (without using AI) to identify potentially sensitive content and to recommend a higher security level to the user if a file appears to be confidential. This process does not involve scanning the contents of the file.
